Hidden Disadvantages of a Sdn Bhd in Malaysia (2026): What Most Business Owners Don’t Know

By AZIZAM AZIZAN

Many people register a Sdn Bhd (Sendirian Berhad) because it looks more professional, feels more “corporate”, and is often seen as the best business structure in Malaysia. And yes — in many cases, a Sdn Bhd is a great choice.

However, what most business owners don’t realize is this:
a Sdn Bhd comes with ongoing responsibilities, yearly costs, and compliance requirements. If you are not prepared, it can become expensive and stressful — even if your business is not making much money yet.

In this article, I’ll share the hidden disadvantages of a Sdn Bhd in Malaysia (2026) in a simple and honest way, so you can decide whether it is truly the right structure for your business.

1) Higher Annual Maintenance Cost (Even If Your Business Is Not Active)

One of the biggest disadvantages of a Sdn Bhd is the Annual Maintenance Cost.

Even if your company has:

  • No sales,
  • No staff,
  • No invoices,
  • No bank transactions,

you may still need to spend money every year to maintain the company properly.

Typical annual costs include:

  • Company secretary retainer
  • Accounting / bookkeeping
  • Tax filing (CP204 + Form C)
  • Audit fee (if required)
  • SSM annual return submission

Many people underestimate this part and only focus on the incorporation cost.

2) More Compliance & Deadlines (SSM + LHDN)

Sdn Bhd is not like an enterprise or sole proprietorship.

Once you incorporate a company, you are expected to comply with requirements such as:

  • keeping proper accounting records
  • preparing financial statements
  • filing tax forms every year
  • filing SSM annual return
  • updating company information when needed

This is manageable — but only if you have a proper system and support.

3) You May Still Need to File Tax (Even If There’s No Profit)

A common myth is:

“If my company is not making profit, I don’t need to file tax.”

In reality, most companies still need to submit:

  • Estimated tax (CP204)
  • Corporate tax return (Form C)
  • Financial statements (depending on situation)

Even if your tax payable is zero, the submission requirements may still apply. This is one of the reasons why a Sdn Bhd is not suitable for everyone.

4) Audit May Be Required (Depending on Your Company)

Another disadvantage is that audit can become a cost.

Some companies may qualify for audit exemption — but not all.

If your company requires audit, you will need to budget for:

  • Audit preparation
  • Audit fees
  • Time to provide documents

This is usually not a big issue for established companies, but it can feel heavy for small businesses.

5) Penalties & Compounds Can Add Up Quickly

When deadlines are missed, a Sdn Bhd may face:

  • compounds (fines)
  • penalties for late submission
  • unnecessary stress when the company needs urgent documents

The biggest problem is not the penalty itself — but the “domino effect”.

Who Should NOT Register a Sdn Bhd in Malaysia?

A Sdn Bhd may not be suitable if you:

  • want the cheapest business setup
  • do not plan to keep proper records
  • do not have budget for yearly compliance
  • have very low business activity
  • are not ready to manage deadlines
So… Is a Sdn Bhd Still Worth It?

Big Yes…..
Sdn Bhd is still one of the best business structures in Malaysia, especially if you want to grow your business seriously, build long-term credibility, or deal with bigger clients and corporate contracts.

However, the key is timing.

✅ A Sdn Bhd is worth it when your business is active, stable, and ready to grow, because the annual compliance and maintenance costs become part of your normal operating expenses.

❌ It may not be worth it if you register it too early, especially when your business is still small, your income is inconsistent, or you do not have a clear plan for yearly costs, tax filing, and compliance deadlines.

In short, a Sdn Bhd is not “good” or “bad” — it is simply a structure that works best when your business is ready for it.
